Hong Kong Company Formation & Accounting ExpertsFrom registration to tax filing, handled properly
We arrange company registration, company secretary, accounting and tax filing for local and overseas entrepreneurs — and explain the documents required, the scope of service and the next steps.
Company Formation, Accounting & Company Secretary Services
From the day you open for business to annual returns, bookkeeping and tax filing every year — all four services are handled by the same team.
01 / 04
Set Up a Hong Kong Company
We first understand your business and shareholding, and advise whether to form a limited or unlimited company; then we search the company name, prepare the articles of association and application documents, complete registration with the Companies Registry and IRD, and obtain your Certificate of Incorporation and Business Registration Certificate.
Every limited company must appoint a company secretary. As a licensed firm, SetupHK acts as your statutory company secretary, keeps statutory records, and reminds you and follows up before deadlines such as annual returns and business registration renewal — reducing the risk of late penalties.
We keep your day-to-day books, prepare financial statements, arrange the annual statutory audit for limited companies, and prepare profits tax and employer's returns for filing by the IRD deadlines.
We provide a registered address and corporate bank account assistance, and also handle unlimited company registration and company formation in Taiwan. Account approval is at the bank's discretion.
A sound legal system, a robust financial sector and a simple tax regime make Hong Kong the starting point for businesses to establish themselves in Asia and go global.

Setting Up in Hong Kong: Local Founders & Overseas Investors
Whether you are in Hong Kong or overseas, the basic requirements are the same — the difference is what you need to think through first.
Local founders
Decide first: limited or unlimited company
A limited company is a separate legal entity and shareholders' liability is limited to their investment, but it must appoint a company secretary, be audited every year and file annual returns. An unlimited company (sole proprietorship or partnership) only needs business registration and involves less paperwork, but the owner is personally liable for the business's debts. One person can form a limited company as sole director and shareholder, but a separate company secretary must be appointed.
Directors and shareholders of a Hong Kong limited company can be of any nationality, but the company must have a registered address in Hong Kong. An individual company secretary must ordinarily reside in Hong Kong, and a corporate secretary must have an office here. SetupHK holds a TCSP licence and can provide the registered address and company secretary, and help prepare your bank account application.
From your first enquiry to receiving your certificates, we explain upfront what happens at each step and who is responsible.

SetupHK: one team from company formation to annual tax filing
SetupHK was founded in 2014 and holds a Trust or Company Service Provider licence (TC009022). We help Hong Kong SMEs set up their companies, and the same team then handles company secretary, bookkeeping, audit arrangements and tax filing — so you never need to switch providers or repeat your information each year.
After incorporation, every year brings annual returns, business registration renewal, bookkeeping, audit arrangements, profits tax and employer's returns. We track these deadlines and remind you in advance to prepare.

Forming a limited company takes roughly six steps: confirm the company name, prepare the application (including the incorporation form and articles of association), pay the government fees, file with the Companies Registry, obtain the Certificate of Incorporation and Business Registration Certificate, and finally open a corporate bank account. See our Hong Kong Company Formation Guide for details.
Costs are split into government fees and service fees. For an electronic application to form a limited company, the government fees are the company registration fee of HK$1,545 plus the business registration fee of HK$2,350, HK$3,895 in total (from April 2026); the registration fee for a paper application is HK$1,720. Service fees depend on whether you need company secretary, registered address and other services. When comparing quotes, check whether government fees are included to avoid extra charges later.
With an electronic application, it usually takes about 3 to 7 working days including document preparation; once approved, the Companies Registry generally issues the electronic certificate within 1 hour. Paper applications take 1 to 3 weeks. Missing documents will delay the process, and approval may be slower at the start of the year or in tax season.
Yes. One person can be both the sole shareholder and the sole director. However, if the company has only one director, that director cannot also be the company secretary; a qualified person or a TCSP-licensed firm must be appointed. Shareholders or directors can be added at any time after incorporation.
You generally need the company name, identity and address proof of the directors and shareholders, the registered office address, the share capital arrangement and company secretary details. The company name must be searched first to confirm it can be used. We'll list what you need based on your situation so nothing has to be resubmitted.
Yes. Directors and shareholders can be of any nationality, but the company must have a Hong Kong registered address. An individual company secretary must ordinarily reside in Hong Kong; a corporate secretary must have an office in Hong Kong.
It depends on business risk and scale. A limited company is a separate legal entity and shareholders' liability is limited to their capital, but it must appoint a company secretary, be audited every year and file annual returns. An unlimited company only needs business registration, with fewer formalities and lower costs, but the owner is personally liable for company debts, so it suits low-risk small businesses.
The name must be in Traditional Chinese or English; Simplified Chinese is not allowed. It may contain numbers but cannot mix Chinese and English. You can have both a Chinese and an English name, or either one: a Chinese name must end with 有限公司 and an English name with "Limited". Since Hong Kong banking mainly uses English, registering an English name is recommended. Search the name before applying to confirm it can be used.
Yes, it is required. A Hong Kong limited company must appoint a company secretary to keep statutory records and file documents such as the annual return. If the company has only one director, that director cannot be the company secretary. An individual secretary must ordinarily reside in Hong Kong; a corporate secretary must have an office in Hong Kong.
A Hong Kong limited company has four statutory tasks each year: file the annual return within 42 days after the incorporation anniversary; hold the annual general meeting on time (single-member companies are exempt); pay the business registration fee on time; and arrange the annual audit and file the profits tax return by the deadline once received, the first usually about 18 months after incorporation. SetupHK keeps track of these deadlines and reminds you in advance.
